Terms of Service

Welcome to Relay. Please read these Terms of Service carefully before using the Relay platform, mobile application, or web application (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

Acceptance of Terms

By creating an account, accessing, or using Relay in any way, you confirm that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference. If you are using Relay on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.

Changes to Terms

Relay reserves the right to modify these Terms at any time. We will notify you of material changes via email or a notice within the Service. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

Eligibility

To use the Service, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into a binding agreement
  • Not be prohibited from using the Service under applicable law

Relay is not intended for use by individuals under the age of 13. If we become aware that a child under 13 has provided personal information, we will take steps to delete such information promptly.

Account Registration

To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activity that occurs under your account

Relay is not liable for any loss or damage arising from your failure to maintain the security of your account credentials.

Description of the Service

Relay is a universal contact routing platform that allows users to capture contact information through a web form or manual entry and automatically sync that contact to connected third-party systems, including but not limited to KW Command, Google Contacts, HubSpot, Salesforce, and other platforms the user chooses to connect (“Connected Systems”). Relay also generates downloadable vCard (.vcf) files to enable saving contacts to mobile devices.

Contact Data and Ownership

You retain full ownership of all contact data you enter into the Service. By using Relay, you grant us a limited, non-exclusive license to process and transmit your contact data solely for the purpose of routing it to your Connected Systems as directed by you.

Relay does not sell, rent, or share your contact data with third parties for marketing purposes. Contact data is used exclusively to perform the routing functions of the Service.

You are responsible for the accuracy, completeness, and legality of all contact data you enter into the Service.

Contact Consent and Compliance

By entering contact information into Relay, you represent and warrant that:

  • You have obtained all necessary consents from the individuals whose information you are uploading
  • You have the legal right to store, process, and sync the contact data to your Connected Systems
  • Your use of the contact data complies with all applicable laws, including but not limited to GDPR, CCPA, CAN-SPAM, and TCPA
  • You will not use the Service to upload contacts obtained through scraping, purchasing, or other unauthorized methods

Relay is not responsible for your compliance with applicable privacy and data protection laws. You assume full responsibility for ensuring that your use of the Service is lawful.

Third-Party Integrations

Relay connects to third-party platforms and services (“Connected Systems”) on your behalf. By connecting a third-party system to Relay, you:

  • Authorize Relay to transmit your contact data to that system using the credentials and permissions you provide
  • Confirm that you have the right and authority to push data into that Connected System
  • Acknowledge that your use of each Connected System is governed by that platform's own terms of service and privacy policy

Relay is not responsible for the availability, reliability, accuracy, or performance of any Connected System. If a Connected System changes its API, discontinues service, or experiences downtime, Relay will make reasonable efforts to notify you but cannot guarantee uninterrupted sync functionality.

Relay currently integrates with platforms including KW Command (Keller Williams), Google Contacts, HubSpot, Salesforce, and others. These integrations may change over time.

Data Syncing

Relay routes contact data to your Connected Systems on a best-effort basis. We do not guarantee:

  • Real-time synchronization to all Connected Systems at all times
  • That all Connected Systems will successfully receive and process every contact submission
  • That data transmitted to Connected Systems will appear identically across all platforms

Relay will display a status result for each sync attempt, indicating success or failure per Connected System. It is your responsibility to verify that critical contact data has been received by your Connected Systems.

vCard Downloads

The Service generates downloadable vCard (.vcf) files for contacts you save. You are solely responsible for the use, storage, and distribution of any vCard files downloaded from the Service. Relay is not responsible for any issues arising from the import of vCard files into third-party applications or devices.

Push Notifications

By using the Relay mobile application, you consent to receiving push notifications as part of the core functionality of the Service, including notifications prompting you to save a contact to your device's native contacts. You may manage notification preferences through your device settings at any time.

Acceptable Use

You agree not to use the Service to:

  • Upload contact data without the consent of the individuals whose information is being entered
  • Send spam, unsolicited communications, or engage in any illegal marketing activity
  • Violate any applicable local, state, national, or international law or regulation
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Use automated scripts or bots to bulk upload contacts in violation of rate limits
  • Interfere with or disrupt the integrity or performance of the Service
  • Attempt to gain unauthorized access to any part of the Service or its related systems
  • Use the Service for any purpose that is harmful, fraudulent, or deceptive

Relay reserves the right to suspend or terminate your account for violation of these acceptable use policies without prior notice.

Subscription and Billing

Relay may offer free and paid subscription tiers. By subscribing to a paid plan, you agree to pay all applicable fees as described at the time of purchase. All fees are in US dollars unless otherwise stated.

  • Subscriptions automatically renew unless cancelled before the renewal date
  • You authorize Relay to charge your payment method on file for each renewal period
  • If payment fails, access to paid features may be suspended until payment is resolved
  • Prices are subject to change with reasonable notice

Refund Policy

All subscription fees are non-refundable except where required by applicable law. If you believe you have been charged in error, please contact us at the email address listed in Section 39 within 30 days of the charge.

Cancellation

You may cancel your Relay account at any time through your account settings or by contacting us. Upon cancellation:

  • Your access to paid features will continue until the end of the current billing period
  • Your contact data and account information will be retained for 30 days following cancellation, after which it will be permanently deleted
  • You may request immediate deletion of your data by contacting us directly

Privacy Policy

Your privacy is important to us. Our Privacy Policy describes how we collect, use, and protect your personal information and is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in our Privacy Policy.

Data Security

Relay implements commercially reasonable technical and organizational measures to protect your data, including encryption of authentication tokens and secure transmission of contact data. However, no method of transmission over the internet or electronic storage is 100% secure. We cannot guarantee the absolute security of your data.

In the event of a data breach that affects your personal information, we will notify you in accordance with applicable law.

GDPR and CCPA Compliance

If you are located in the European Economic Area or California, you may have additional rights with respect to your personal data, including the right to access, correct, delete, or port your data. To exercise these rights, please contact us using the information in Section 39. We will respond to all legitimate requests within the timeframe required by applicable law.

Children's Privacy

The Service is not directed to children under the age of 13. We do not knowingly collect personal information from children under 13. If you believe a child under 13 has provided us with personal information, please contact us immediately and we will take steps to delete such information.

Intellectual Property

All content, features, and functionality of the Service, including but not limited to software, design, text, graphics, logos, and interfaces, are the exclusive property of Relay and are protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission.

You retain all intellectual property rights in the contact data you submit to the Service.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RELAY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, LOSS OF CONTACTS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF RELAY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL RELAY'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE AMOUNT YOU PAID TO RELAY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. RELAY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Indemnification

You agree to indemnify, defend, and hold harmless Relay and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, your violation of any applicable law, or your infringement of any third-party rights.

Third-Party Services Disclaimer

Relay is not affiliated with, endorsed by, or in any way officially connected with Keller Williams Realty, Google, HubSpot, Salesforce, or any other third-party platform that may be connected to the Service. All third-party trademarks and service marks are the property of their respective owners.

Relay is not liable for any changes made by third-party platforms to their APIs, data structures, or terms of service that may affect the functionality of integrations within the Service.

Downtime and Maintenance

Relay reserves the right to temporarily suspend the Service for maintenance, upgrades, or other operational reasons. We will make reasonable efforts to provide advance notice of planned downtime. Relay is not liable for any damages resulting from Service interruptions.

Account Termination

Relay reserves the right to suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice, including if we believe you have violated these Terms. Upon termination, your right to use the Service will immediately cease.

You may terminate your account at any time as described in Section 15.

Mobile Application

The Relay mobile application is available on iOS and Android platforms. Your use of the mobile application is also subject to the terms of service of the applicable app store (Apple App Store or Google Play Store). In the event of a conflict between these Terms and the app store terms, these Terms shall govern to the extent permitted.

Web Application

Relay provides a web-based version of the Service accessible through standard internet browsers. We do not guarantee compatibility with all browsers or devices. You are responsible for maintaining the hardware and software necessary to access the Service.

API Access

If Relay makes an API available to you, your use of the API is subject to these Terms and any additional API-specific terms we may publish. Relay reserves the right to limit, modify, or discontinue API access at any time.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Nebraska, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the state or federal courts located in Nebraska.

Dispute Resolution and Arbitration

Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Nebraska. You waive any right to participate in a class action lawsuit or class-wide arbitration against Relay.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.

Severability

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions of these Terms will continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy and any additional terms you agree to in connection with specific features of the Service, constitute the entire agreement between you and Relay regarding the Service and supersede all prior agreements, representations, and understandings.

No Waiver

Relay's failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Relay.

Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. Relay may assign these Terms without restriction. Any attempted assignment in violation of this section will be void.

Force Majeure

Relay shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, internet outages, or third-party service failures.

Feedback

If you provide Relay with any feedback, suggestions, or ideas regarding the Service, you grant Relay a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without compensation or attribution to you.

Partner and Developer Terms

If you access the Service as a developer or integration partner, additional terms may apply. Please contact us for information about partnership and developer agreements. Relay reserves the right to require separate agreements for API access or white-label use of the Service.
